Professional Services Agreement

I (Client) agree to employ Ryan Lee Coaching (dba Landscape Lighting Secrets) for coaching and training in the field of landscape lighting, and anything reasonably related to as agreed by the parties. 

For PREMIUM level access users, the following services will be included:

• Access to online training portal with templates and courses
• Invitation to Members only Facebook group
• Bi-Monthly & Monthly group calls as scheduled
• Access to Bonuses

OLP OFFER BONUS: When you sign up for Landscape Lighting Secrets during the OLP event in July 2025, you get the 13th month of Landscape Lighting Secrets added to your membership for FREE.

I have read and agree with provisions 1-12 of this agreement. I understand and agree to the following terms: 

(PREMIUM level access): A total fee of $1,197/month to be paid monthly for 12 consecutive months via auto-pay upon execution of this document. After 12 consecutive months of auto-pay, (and 1 free month), membership will automatically renew on a monthly basis. 

If payment is not complete on time, you will not be permitted to access the online content portal and your access to the Coaching Program will be revoked.

1. Client obligations and acceptable use: As a participant in the Coaching Program, client will be given a user login and password. Client must not share their login information with any third party. Client agrees not to use the Coaching Program in a way that could damage the Coaching Program, website, services, or general business of Ryan Lee Coaching. 
2. These fees do not include any additional services that may be offered at a future date. They also do not include any type of additional services including advertising or marketing that may be offered or suggested to do within the Coaching Program. Current offerings may be adjusted at any time, including adding or removing content or portions, or changing the structure of the coaching program.
3. By participating in the Coaching Program, you represent and warrant that you are at least 18 years of age and may legally be bound by this contract.
4. Intellectual Property: Client agrees that the materials, the Coaching Program, the website, and any other services provided by Ryan Lee Coaching are the property of Ryan Lee Coaching, including all copyrights, trademarks, trade secrets, and other intellectual property (Company IP). You agree not to reproduce or distribute the Company IP in any way without express written permission from Ryan Lee Coaching. You also agree not to reverse engineer any code or software from or on the Coaching Program or the website.
5. Content you post: Client hereby grants Ryan Lee Coaching a royalty-free, non-exclusive, worldwide license to copy, display, use, broadcast and make derivative works of any content you post within the Coaching Program or private Facebook group. All Q&A calls, private coaching calls, and training calls may be recorded, and you authorize Ryan Lee Coaching to copy, display, use, broadcast for any purpose including advertising and marketing purposes.
6. The Coaching Program and website are provided for informational purposes only and are not intended to be construed as legal, medical, or financial advice. You are participating in this Coaching Program at your own risk.
7. Term, termination & suspension: Ryan Lee Coaching may terminate this agreement with you at any time for any reason, with or without cause. Client may not cancel this agreement until 1 full year (12 months) of payments have been completed.
8. Limitation on liability and warranty: Ryan Lee Coaching is not liable for any damages that may occur to you as a result of your participation in the Coaching Program to the fullest extent permitted by law. Ryan Lee Coaching makes no guarantees as to the reliability or accuracy of any information in the Coaching Program. Client is responsible for your own actions and we don’t guarantee or imply that you will get rich, that you will do as well, or that you will have any earnings at all.
9. Indemnification: Client agrees to defend and indemnify Ryan Lee Coaching and any of our affiliates and hold us harmless against any and all legal claims and demands, including reasonable attorney’s fees, which may arise from or relate to your participation in the Coaching Program. 
10. Service interruptions: Ryan Lee Coaching may need to interrupt your access to the Coaching Program to perform maintenance or emergency services on a scheduled or unscheduled basis. You agree that your access to the Coaching Program and/or website may be affected by unanticipated or unscheduled downtime, for any reason, but that we shall have no liability for any damage or loss caused as a result of such downtime.
11. Collections: In the event Client fails to pay any portion of money due or funds fail to clear Ryan Lee Coaching’s bank account, Client hereby agrees to pay all fees and/or costs associated with collection efforts including attorney’s fees, court costs or other expenses incurred by Attorney due to collection efforts, which amounts outstanding shall be subject to an interest rate of ten percent (10%) per annum if not paid within fifteen (15) days of the date such are due and payable. NSF checks will result in the Client being required to pay to the Attorney an NSF charge of $50.00.
12. Chargeback Terms: Client agrees that they will not initiate any chargebacks or payment reversals with their credit card provider or financial institution for any fees or payments made under this agreement. By entering into this agreement, Client acknowledges that all sales are final and that refunds are governed exclusively by the refund policy outlined herein. In the event of an attempted chargeback, Client agrees to withdraw or reverse the chargeback promptly and remains responsible for all costs, including collection fees, legal fees, and any other expenses incurred by Ryan Lee Coaching in responding to or disputing such chargeback.
